These Terms of Service ("Terms") govern your access to and use of Dace's website and services (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Services

Dace provides a platform for creating and managing agents that can be authorized to act — including to move money on payment providers you connect — together with verification and a record of what was authorized and what occurred. The Services are offered on an early-access basis and may change, be limited, or be discontinued at any time.

3. Accounts

You are responsible for the information you provide, for keeping your credentials secure, and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.

4. Your responsibilities

You are responsible for the authority, limits, and instructions you configure, and for the actions taken under them. You authorize the movements that your configured authority permits. Money movement executes on the banks, cards, and payment providers you connect; Dace does not hold, custody, or move funds itself. You are responsible for complying with all laws applicable to your use, including financial, anti-money-laundering, and sanctions requirements.

5. Connected providers and third-party services

Your use of connected banks, payment providers, and other third-party services is governed by your agreements with those parties. We are not responsible for third-party services, and their availability or terms may change.

6. Acceptable use

You agree not to misuse the Services, including by:

  • using them for unlawful, fraudulent, or harmful purposes;
  • attempting to gain unauthorized access to the Services or related systems;
  • interfering with or disrupting the integrity or performance of the Services;
  • reverse engineering or copying the Services except as permitted by law; or
  • infringing the rights of others.

7. Fees

Where fees apply, they will be described to you before you incur them. Early-access use may be provided at no charge and is subject to change.

8. Intellectual property

We and our licensors own the Services and all related intellectual property. You retain ownership of the content and configuration you provide, and you grant us the rights necessary to operate and provide the Services to you.

9. Feedback

If you give us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied. Dace is an early-stage product and may contain errors or be interrupted. Nothing provided through the Services is financial, legal, tax, or investment advice.

11. Limitation of liability

To the maximum extent permitted by law, Dace will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months before the claim or one hundred US dollars (USD $100).

12. Indemnification

You agree to indemnify and hold Dace harmless from claims arising out of your use of the Services, your content or configuration, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or to protect the Services. Provisions that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Dace is established, without regard to its conflict-of-laws rules, and any disputes will be resolved in the courts located there.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date; your continued use of the Services after changes take effect constitutes acceptance.
